EDEN Bioscience Corporation (Nasdaq: EDEN), which develops, manufactures and markets innovative, natural protein-based products for improving crop production and protecting plants, today
announced financial results for its fourth quarter and fiscal year ended December 31, 2002.

Revenue for the fourth quarter of 2002 was $219,000, which compares to no revenue in the fourth quarter of 2001. Net revenue for the year ended December 31, 2002 was $1.9 million, compared to $3.5 million in 2001. Revenue is derived solely from sales of Messenger(R) to distributors. Net loss in the fourth quarter was $8.6 million, or $0.36 per weighted average common share, compared to a net loss of $7.5 million, or $0.31 per weighted average common share in the fourth quarter of 2001. Net loss for 2002 was $23.5 million, or $0.97 per weighted average common share, compared to a net loss of $23.7 million, or $0.99 per weighted average common share in 2001. The fourth quarter of 2002 includes a $4.2 million loss on a sublease of excess laboratory and office space. Excluding the loss on facility sublease, the net loss in the fourth quarter was $4.4 million, or $0.18 per weighted average common share and the net loss for 2002 was $19.3 million, or $0.79 per weighted average common share. Per-share loss amounts for the quarter are based on weighted average common shares of 24.3 million in 2002 and 24.0 million in 2001. Annual per share loss amounts are based on weighted average common shares of 24.2 million in 2002 and 24.0 million in 2001.

"We are now concentrating our full sales effort on communicating the plant health, yield and post-harvest benefits of Messenger demonstrated in 2002 and prior years to growers and retailers in our focus crops," said Rhett Atkins, president and CEO. "While total estimated distributor sales to growers have increased 15% in 2002, distributor sales to growers in our targeted crops have increased over 100%, reflecting the changes we made earlier in the year to focus our marketing efforts on higher-value crops. We plan to capitalize on this momentum in 2003 and have reallocated resources to focus even more effort on our targeted crops this year. Our targeted crops in 2003 are grapes, fruiting vegetables, strawberries, stone fruit, tobacco and citrus."

The company estimates that distributors sold approximately 73,000 ounces of Messenger to growers in the fourth quarter of 2002, compared with 35,000 ounces in the fourth quarter of 2001. In total for 2002, the company estimates that distributors sold approximately 684,000 ounces to growers, compared with 596,000 ounces in 2001. Based on preliminary information, EDEN estimates that 867,000 ounces remained in distributors' inventories at December 31, 2002, compared with an estimated 882,000 ounces in distributors' inventories at September 30, 2002.

"During 2002, we completed difficult steps to significantly reduce our operating expenses," said Brad Powell, Chief Financial Officer. "We expect our sales to distributors in the first quarter of 2003 to be minor as grower demand for Messenger will most likely be filled from current distributor inventory, reflecting our goal to reduce channel inventory."

Cash and investments as of December 31, 2002 totaled $30.7 million, compared with $34.9 million at September 30, 2002.

EDEN Bioscience is a plant technology company focused on developing, manufacturing and marketing innovative, natural protein-based products for agriculture. EDEN Bioscience believes its technology and initial product, Messenger, provide growers with a new tool to improve crop production and plant protection. Messenger is based on naturally occurring proteins called "harpins," which activate a plant's intrinsic ability to protect itself through growth and stress-defense responses. These responses enhance overall plant health, improve plant vigor and stamina, and result in improved crop quality, yield, and/or shelf-life. EDEN Bioscience's headquarters are at 3830 Monte Villa Parkway, Bothell, WA 98021, 425/806-7300; www.edenbio.com .
