At a regularly convened meeting, the Supervisory Board of Aventis S.A., Strasbourg, gave the Board of Management its consent to develop further steps to focus the company on pharmaceuticals. 

The integration of the Aventis activities worldwide has made very good progress and the pharma business has been showing steady and strong top-line growth. With an R&D budget of 2.5 billion euros, around 19.000 sales representatives globally, a strong pipeline of new products and more than ten major products, which are expected to be launched between 2001 and 2004, Aventis is today well positioned for further sustainable growth in the pharmaceutical industry.

The agricultural business Aventis CropScience, which has been operating as an independent 
legal entity since Aventis was founded, would be divested. The Board of Management of Aventis will evaluate all value-enhancing options including a potential initial public offering of Aventis CropScience under the name "Agreva". The divestment process is expected to be implemented by the end of 2001. Aventis will initiate discussions with Schering AG, the minority shareholder (24 percent) of Aventis CropScience, and expects to reach an agreement within a short period of time. 

Since the creation of Aventis, market consolidation in both the pharma and agriculture sector has accelerated. By effecting the separation, Aventis would achieve strategic flexibility, clarity and enhanced performance focus for both businesses.

The Animal Nutrition business is in the process of being sold. The 50 percent stake in the animal health joint venture Merial will be retained. The divestments of the remaining industrial activities, namely the interests in Messer and Wacker, are expected to progress as previously communicated.

Le Conseil de Surveillance approuve la stratégie de recentrage d'Aventis sur la pharmacie

Lors de sa réunion ordinaire du 14 novembre 2000, le Conseil de Surveillance d'Aventis S.A., a donné au Directoire son accord pour que le recentrage du groupe sur la seule pharmacie soit poursuivi. 

L'intégration des activités mondiales d'Aventis a fait de très grands progrès depuis la fusion, et le secteur pharma a connu une croissance continue et forte de ses ventes. Avec un budget de 2,5 milliards d'euros de R&D, environ 19.000 visiteurs médicaux dans le monde, un fort portefeuille de
nouveaux produits en développement et le lancement de plus de 10 produits majeurs entre 2001 et 2004, Aventis est aujourd'hui bien placée pour poursuivre durablement sa croissance dans la pharmacie. 

Aventis CropScience, qui fonctionne comme une entité légalement indépendante depuis la création d'Aventis, serait désinvesti. Le Directoire d'Aventis examinera toutes les options possibles créatrices de valeur, dont une éventuelle mise sur le marché d'Aventis CropScience, qui prendrait alors le nom d'Agreva. La mise en oeuvre de ce désinvestissement devrait intervenir d'ici la fin de l'année 2001. Aventis va entamer des discussions avec Schering AG, l'actionnaire
minoritaire (24 %) d'Aventis CropScience, et pense trouver un accord dans un bref délai.

Depuis la création d'Aventis, les restructurations se sont accélérées dans le secteur de la pharmacie et de l'agriculture. En réalisant cette séparation, Aventis augmenterait sa flexibilité stratégique, sa lisibilité, et favoriserait, pour les deux activités, une meilleure focalisation sur leurs objectifs de performance respectifs.

Le processus de vente de l'activité Nutrition Animale est en cours. La participation de 50 % dans Merial, société commune de santé animale, sera conservée. Les désinvestissements des activités industrielles, notamment Messer et Wacker, progressent et seront poursuivis comme
annoncés.

Aventis Aufsichtsrat stimmt einer weiteren Fokussierung auf das Pharmageschäft zu

Der Aufsichtsrat der Aventis hat auf einer ordentlichen Sitzung am Dienstag dem Vorstand seine
Zustimmung erteilt, das Unternehmen in Zukunft verstärkt auf das Pharmageschäft auszurichten. 

Die weltweite Integration von Aventis ist in den ersten zehn Monaten seit der Gründung des Unternehmens erfolgreich verlaufen und bereits weit vorangeschritten. Vor allem Aventis Pharma konnte einen deutlichen Umsatz- und Ergebniszuwachs verzeichnen. Mit einem jährlichen Budget für Forschung und Entwicklung von etwa 2,5 Milliarden Euro, rund 19.000 Außendienst-mitarbeitern weltweit, einer gut gefüllten Pipeline mit neuen Produkten sowie mehr als zehn bedeutenden Produkten, die zwischen 2001 und 2004 auf den Markt gebracht werden sollen, ist Aventis für weiteres Wachstum im Pharmageschäft gut aufgestellt. 

Aventis CropScience, in der das Geschäft mit Pflanzenschutz und Pflanzenproduktion als eigenständige Gesellschaft zusammengefasst ist, soll im Zuge dieser Konzentration auf
Pharma abgegeben werden. Der Vorstand von Aventis wird alle wertsteigernden Optionen für dieses Geschäft prüfen, einschließlich eines möglichen Börsengangs von Aventis CropScience unter dem Namen "Agreva". Der Trennungsprozess von CropScience soll bis Ende 2001 weitgehend umgesetzt werden. Aventis wird mit der Schering AG, Berlin, die mit 24 Prozent an Aventis CropScience beteiligt ist, Gespräche aufnehmen und erwartet, innerhalb kurzer Zeit eine Einigung zu erzielen. 

Seit der Gründung von Aventis im Dezember 1999 hat sich der Konsolidierungsprozess sowohl in Pharma- als auch im Agrogeschäft fortgesetzt und beschleunigt. Durch eine Trennung der beiden Aktivitäten strebt Aventis für diese Geschäfte eine größere strategische Flexibilität, höhere Transparenz und eine verstärkte Ausrichtung auf die jeweiligen Erfolgsfaktoren der Geschäfte an. 

Über die Desinvestition des Tiernahrungsmittelunternehmens Aventis Animal Nutritition werden derzeit Gespräche geführt. Die Beteiligung in Höhe von 50 Prozent an dem Tiergesundheits-geschäft Merial wird weiter Bestandteil von Aventis bleiben. Die verbleibenden industriellen Beteiligigungen der Aventis, vor allem bei Messer und Wacker-Chemie, sollen wir bereits angekündigt abgegeben werden.
